DBOS' Vendor Code of Conduct
INTRODUCTION
The Vendor Code of Conduct (“Code”) establishes a set of standards on business and ethical practices, and professional conduct expected of all vendor(s) working with Development Bank of Sarawak Berhad (“DBOS”). In addition, vendors are expected to fully comply with the laws and regulation of the country.
The Code shall apply to all vendors appointed by any DBOS' function, business or individual working on behalf of DBOS, including their employees and those appointed by them as their “representatives” (third party) in any capacity to deliver the goods or perform any part of the services on their behalf.
DBOS expects its vendor(s) to comply with the Code when engaging with DBOS and in conducting business with DBOS. It is the responsibility of every vendor to ensure that its representatives understand and comply with this Code. Vendor(s) are expected to self-monitor and enforce compliance with this Code by their representatives.
In the event of any unintended contradiction between this Code and the law or DBOS' internal policies, the stricter provisions shall be used. This Code will be updated from time to time, as and when necessary and a copy of the updated version of the Code shall be extended to vendor(s).
COMPLIANCE WITH THE CODE
- DBOS, may from time to time, require the vendor(s) to provide attestation in writing of its compliance with this Code, where applicable and fitting in the context of the organisation and the nature of procurement.
- Cooperation from the vendor(s) are expected in any investigation DBOS may conduct for non-compliance of the Code which may include providing any additional information to facilitate DBOS' investigation into allegation of inappropriate or unethical behaviour involving DBOS' employee(s) or the vendor's representative(s).
- DBOS reserves the right to take any action deems fit against vendor(s) for breaching the Code, such as:
- suspension or termination of contract;
- deduction and retaining of any amount of money paid or promised to be paid;
- requiring the vendor to substitute any representative who breaches the Code or acting unlawful / inconsistent with the Code. The replacement representative must be equipped with equal or better skills and knowledge, and must be agreed to in writing by DBOS; or
- permanent disqualification of the vendor from participating in any future quotation or tender exercise.
- DBOS has the right at any point in time to request information from the vendor(s) to verify the vendor's reliability in order to ensure that DBOS' interest is protected at all times.

- To take active steps to disclose and manage any actual, potential, or perceived conflicts of interest in relation to your engagement with DBOS.
- To refrain from offering gifts to DBOS' employees, and to comply with DBOS' Gift and Hospitality Policy and Procedures.
- To comply with DBOS' Anti-Bribery and Corruption Policy, i.e., zero tolerance to corruption and bribery.
- To provide honest and open representation of their organisation, their qualifications, experiences and capabilities.

- To comply with all Malaysian laws and standards.
- To adopt fair and ethical employment practices.
- WELLBEING
- To take a proactive approach to the wellbeing of your workforce.
- To have policies and initiatives to support wellbeing, including a healthy work and family balance.
- To provide employee benefits designed to enhance wellbeing.
- To ensure the working place is free from substantial abuse or activities related to it.
- SAFETY, HEALTH AND ENVIRONMENT
- To provide a safe working environment for your employees and those affected by your activities.
- To have in place processes demonstrating how appropriate controls and safe working procedures will be implemented.
- To supply less environmentally and socially damaging products which take into account all phases of the products' life cycle.
- BUSINESS CONTINUITY
- To have contingency and business continuity plan in place with emergency response processes.
- Ensure constant supply of goods and services.
- PROTECTION OF ASSETS AND INFORMATION
REPORTING OF POTENTIAL BREACH
- If a vendor has reason to believe that such vendor or any of its representatives, or an employee of DBOS or its representatives, may have violated this Code or any applicable law, rule or regulation, or otherwise engaged in unethical behaviour, it is such vendor's responsibility under this Code to immediately report to DBOS through DBOS' whistleblowing channel that can be accessed through DBOS corporate website.
- All reports and inquiries will be handled in great confidence to the greatest extent appropriate under the circumstances. The identity of the reporting party will be treated with the strictest confidentiality at all times.
- DBOS will not tolerate any retribution or retaliation by anyone against any individual who has, in good faith, sought out advice or has reported questionable behaviour and/or a possible violation.
ON-SITE AUDIT
DBOS and / or an authorised third party acting on behalf of DBOS may conduct on-site audit to verify vendor's compliance with this Code.
